TERMS OF SERVICE

1. Acceptance of the Contractual Terms

These Terms of Service (“Terms”) establish a legally binding agreement between you (referred to as “User”, “Buyer”, or “Seller”) and Circec Solutions Private Limited, a corporate entity incorporated under the Companies Act, 2013 (referred to as the “Company”, “NewSa”, “we”, “us”, or “our”). This agreement governs your access to and use of the NewSa web platform, mobile applications (iOS and Android), and all associated services (collectively, the “Platform”).

By clicking “I Agree”, completing the registration process, or utilizing the Platform, you explicitly affirm that:

  • You possess the legal capacity to enter into binding contracts under the Indian Law.
  • You are at least 18 years of age.
  • You will strictly comply with all local, state, and national laws of the Republic of India.

These Terms incorporate by reference NewSa’s Privacy Policy, Cancellation & Refund Policy, Payment & Shipping Policy, and Community Guidelines. If you do not consent to these terms in their entirety, you must immediately cease all access to the Platform.

2. Nature of the Platform & Intermediary Status

NewSa operates a consumer-to-consumer (C2C) digital marketplace providing technology infrastructure that allows individual users to list, negotiate, sell, and purchase both pre-owned and new goods.

  • Intermediary Status:In accordance with Section 2(1)(w) of the Information Technology Act, 2000, and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, NewSa acts strictly as an electronic "intermediary".
  • No Transfer of Title & Scope of Warranties: NewSa does not own, hold, sell, or exert possession over any physical items listed on the Platform, and makes no guarantees or warranties regarding the condition, composition, safety, description, authenticity, quality, or legal title of the goods, except as expressly provided otherwise through our designated, optional add-on authentication, verification or warranty services; in the absence of such purchased add-on services, all items are provided strictly "as-is.”
  • Independent Contracting:The legal contract for sale is formed directly and exclusively between the Buyer and the Seller. NewSa is not a party to the commercial transaction and merely provides payment facilitation, structured dispute support, logistics coordination, and optional value-added service. NewSa or the Company may provide these mentioned services directly or via third-party partners as well.

3. User Eligibility & Onboarding Scope

  • Platform Nature:NewSa is strictly a consumer-to-consumer (C2C) marketplace. The Platform is primarily intended for individual use, and registrations by business entities (including corporations, partnerships, or LLPs) may be subject to additional verification checks and operational reviews.
  • Age Limit:Users must be 18 years or older to register an account or initiate transactions. Minors accessing the platform via a guardian's account render that guardian fully liable for all actions and financial obligations.
  • Territorial Limits:Services are strictly limited to transactions where both the origin and destination addresses are within the geographic territory of India.

4. Account Registration & Security

To use certain NewSa or Circec platform services, you may be required to create an account. You are responsible for maintaining the strict confidentiality of your login credentials (including One-Time Passwords) and for all activity that occurs under your account.

  • WhatsApp Authentication & Login:NewSa operates a passwordless ecosystem. Initial registration does not require you to provide a verified accurate name; however, you must provide a valid Indian phone number linked to an active WhatsApp account. Authentication OTPs (One-Time Passwords) will be delivered exclusively via WhatsApp to your registered mobile number.
  • Mandatory KYC Verification:To ensure marketplace safety and satisfy legal obligations, NewSa requires mandatory identity verification (which may include Aadhaar-based eKYC, PAN submission, or other government-approved identification documents). Access to listing features, high-value transactions, or fund withdrawals may be restricted until KYC validation is fully completed. Impersonating someone else or providing false credentials during registration or account usage is strictly prohibited and may lead to restricted access, immediate account suspension, or further platform and legal action.
  • Single Account Policy:A single individual is permitted to maintain only one active account. Duplicate accounts mapping to the same user will be flagged, and any associated funds or pending transactions will be locked pending a compliance review.

5. User Roles

The Platform supports two primary roles. A single user may act as both Buyer and Seller; the obligations of each role apply independently for each transaction.

  • Seller: Lists items for sale. Seller’s key obligations include accurate listings, timely response to bids, timely dispatch, packaging compliance.
  • Buyer: Browses, bids on, or purchases items. Buyer’s key obligations include timely payment, delivery acceptance, honest dispute reporting.

6. Listing Mechanisms, App Functions, & Negotiation Rules

  • Listing Accountability:Sellers bear total responsibility for the accuracy of their listings. Descriptions, pricing, item condition classifications, defects, and uploaded media must transparently reflect the true state of the item. Listing a product on NewSa does not automatically create a sale, transfer ownership, or require NewSa to purchase the product or guarantee a sale.
  • Buy Now and "Make Offer" Functionality:The Platform supports two primary transaction paths:
    • Buy Now:The Buyer accepts the Seller’s listed price instantly, initiating the payment workflow.
    • Make Offer:Buyers and Sellers can utilize the structured pricing tool to propose, counter, and finalize a transaction price. A finalized offer does not constitute a legally binding commitment to purchase. However, Buyers must make offers only after thoughtful consideration. Offer spamming (including submitting excessive unnecessary offers or consistently failing to proceed after multiple offers have been accepted by Sellers) is strictly prohibited and will lead to restricted usage, limited access, or full suspension from the Platform.
  • 6.3 In-App Communication & Liability Exclusions:The Platform incorporates built-in interactive features, specifically in-app chat, in-app comments, and the make offer function, enabling users to communicate, ask questions, and request additional photos or videos.
    • No Content Liability:NewSa acts as a passive conduit for user-submitted media and text. We disclaim all liability regarding the text, data, files, photos, or videos shared between users. Furthermore, NewSa will not be liable for any financial or emotional loss arising out of the shared content.
    • Off-Platform Disincentive:For your personal safety, transaction protection, and identity privacy, NewSa strongly discourages conducting deals off-platform. Any external interactions, communications, or payment details requested, shared, or completed outside the application fall completely outside the scope of these Terms. NewSa is completely exempt from liability for any eventuality, transaction loss, or security compromise resulting from off-platform behavior.
    • Moderation & Reporting:Users are provided with tools to block and report other platform participants for violating these provisions. NewSa reserves the right to review reported communication data to enforce platform safety.

7. Financial Workflows & The Escrow Mechanism

All financial interactions on the NewSa platform are securely managed through a multi-step escrow model to protect both transaction participants:

  • Payment Infrastructure:Payments are processed securely via our integrated licensed Payment Aggregator, Razorpay Software Private Limited. NewSa does not capture or store your credit/debit card numbers or bank log-in credentials.
  • Escrow Flow:Upon order confirmation via Buy Now or an accepted Make Offer, the Buyer must either pay the full transaction balance or submit a designated booking fee coupled with a Cash on Delivery (COD) selection. All collected funds are directed into a secure escrow mechanism.
  • Delivery & Receipt:Once integrated shipping is fulfilled and any outstanding COD balances are collected, the Buyer is granted a specific inspection window to verify the product's alignment with the listing details.
  • Final Seller Payout:Seller payout is subject to successful sale confirmation, applicable quality or authenticity checks, buyer order status, seller verification, bank account verification, and NewSa's payout policies. NewSa may withhold, delay, adjust, or cancel a payout if: the product fails quality check; the order is cancelled; the product is returned; the seller has provided incorrect information; there is a dispute, fraud concern, or policy violation; bank account or identity details are incomplete or incorrect; or any amount is recoverable from the seller. If no legitimate return claim is filed within the timeframe detailed in the Cancellation & Refund Policy, escrow funds are systematically disbursed to the Seller’s verified account.
  • Statutory Taxation:NewSa enforces compliance with Indian tax legislation, applying Tax Collected at Source (TCS) under Section 52 of the CGST Act, 2017, and withholding tax obligations under Section 194-O of the Income-tax Act, 1961, wherever applicable.

8. Service Fees & Transaction Costs

NewSa levies platform operational fees for providing marketplace infrastructure. These charges include:

  • Buyer Protection Fee:This fee is charged directly to the Buyer. The percentage is structured as a function of the product category, pricing, amongst other parameters. The exact percentage will be dynamically calculated and displayed to the Buyer on the product checkout page. This fee secures access to escrow protection and dispute mediation.
  • Shipping Fee:This fee is charged directly to the Buyer. It is calculated based on the seller and buyer locations, the weight of the shipment, the nature of the product, and charges levied by our third-party shipping partners, amongst other parameters. The exact fee will be made transparently available on the checkout page.
  • Seller Platform Fee:This fee applies to sellers and is calculated as a function of the category, pricing of the product, amongst other parameters. The exact fee amount will be displayed to the seller within the listing submission form prior to publication.
  • Add-On Service Fees:These charges are optional add-ons available for select product categories, and the customer can explicitly opt-in for these services. These include charges for promoted-listings, Product / Brand Authentication, Product Verification, Service Warranty, or any other charges explicitly detailed at the time of purchase, order confirmation or adding the listing.
  • NewSa reserves the right to modify its Fee Schedule by providing 7 days' notice on the Platform. Continued account usage after an update signifies full acceptance of the adjusted rates.

9. Shipping, Logistics, & Packaging Mandates

  • Integrated Shipping:Logistics are fulfilled through NewSa's integrated third-party courier networks. Full operational details, responsibilities, and terms regarding payment distributions and logistics are set forth in our Payment and Shipping Policy.
  • Safe Packaging Burden:The absolute legal burden of secure, drop-resistant, and weatherproof packaging rests entirely upon the Seller. If an item arrives damaged at the Buyer's location due to defective, negligent, or inadequate packaging, the Seller must absorb the total cost burden of the transaction, including all logistics charges, and the Buyer will be fully refunded from escrow.

10. Prohibited Items, Restricted Items & Code of Conduct

  • Prohibited Items:Users are strictly prohibited from listing, offering, or transacting in any of the following item classes. The Seller must be the sole and rightful owner of any product they list or sell on the Platform:
    • Counterfeit goods, replicas, replica luxury labels, unlicensed copies, or items violating third-party intellectual property rights.
    • Stolen property or items obtained through illegal means.
    • Firearms, ammunition, weapons, explosives, hazardous chemicals, or radioactive matter.
    • Narcotics, controlled substances, prescription medicines, alcohol, psychotropic substances, or human organs.
    • Pornographic, obscene, or illicit adult materials.
    • Currencies, securities, stocks, bonds, or financial instruments.
    • Items prohibited under the Wildlife Protection Act, 1972, or any other active statute of the Republic of India.
  • Restricted Items:Certain product categories (such as specific high-end electronics and luxury goods) may carry additional identity verification, category-level approval, or strict compliance requirements. Sellers must apply for and successfully obtain category approval within the app before listing items in these segments.
  • Platform Code of Conduct & Prohibited Activities:Users must interact with honesty, respect, and good faith. You may not use the Platform to harass, threaten, defame, or discriminate against any user on the basis of religion, caste, gender, sexuality, nationality, disability, or any other protected characteristic. No user can threaten another user, coerce them, or force them to engage in any illegal activities or unlawful actions. The following activities are strictly banned:
    • Creating fake reviews, dummy ratings, or manipulating the marketplace feedback system.
    • Compelling, forcing, or pressuring another user to transact or interact outside the Platform.
    • Sending spam, phishing links, vulgar, abusive, or malicious messages and content via app channels.
    • Impersonating NewSa employees, administrators, or other NewSa users.
    • Scraping, crawling, downloading, or harvesting data or interface details from the Platform via automated tools.
    • Engaging in any form of money laundering, fraud, or the financing of prohibited activities.

The platform code of conduct, reporting workflows, and corresponding enforcement mechanisms governing all transactions and secondary market behavior are outlined in comprehensive detail within the separate Platform Community Guidelines. Violations of the Platform Community Guidelines constitute a direct breach of these Terms and may result in immediate restricted access, account suspension, or permanent termination.

11. Intellectual Property Framework

  • Company Ownership:The NewSa brand name, the trademark NEWSA, proprietary logos, software code, interfaces, design aesthetics, and platform content are the exclusive intellectual property of Circec Solutions Private Limited.
  • User Content License:By uploading photographs, descriptive write-ups, or video media to our marketplace, you grant NewSa a perpetual, non-exclusive, royalty-free, sublicensable, worldwide license to use, host, format, modify, and distribute that media across any digital channel for operations and promotional initiatives.

12. Liability Restrictions, Indemnity Boundaries & Force Majeure

  • Liability Ceiling:To the maximum extent permitted under the Consumer Protection Act, 2019, and related rules, NewSa’s cumulative liability for any dispute arising out of this agreement shall never exceed the lesser of: (a) the specific transaction escrow value under dispute, or (b) ₹10,000 (Ten Thousand Rupees).
  • Disclaimed Damages & Force Majeure Exclusions:NewSa is completely exempt from liability for loss of profits, commercial data gaps, system interruptions, or damage caused by third-party logistics faults, or inaccuracies within user conversations. Furthermore, NewSa shall not be held liable or responsible for any failure, degradation, or delay in performing its platform duties if such failure arises from force majeure events or circumstances beyond its reasonable control, including natural disasters, regional or global pandemics, government lockdowns, national security emergencies, wars, or extensive telecommunication failure spikes.
  • Indemnity:You agree to fully defend and hold harmless Circec Solutions Private Limited, its directors, and operational staff against any legal actions, financial liabilities, demands, or costs (including legal counsel fees) resulting from your platform violations, flawed packaging, or regulatory infractions.

13. Suspensions, Account Deactivation, & Reinstatement

  • Compliance Terminations:NewSa reserves the absolute right to suspend or permanently terminate user accounts without prior notice if fraudulent activity, off-platform payment solicitations, KYC failures, or breaches of these Terms are detected.
  • Funds Settlement Post-Termination:Upon account termination, legitimate, non-disputed seller balances held in escrow will be withheld for a mandatory 30-day structural hold period to clear potential buyer disputes before final disbursement.
  • Account Deactivation:Users may request account deactivation at any time via the app settings, provided there are no unfulfilled orders, active shipping tracks, or unresolved financial disputes.

14. Revisions to the Master Agreement

NewSa reserves the absolute, unilateral right to amend, update, or modify these Terms at any time at its sole discretion. Any such updates, modifications, or replacements become effective immediately upon being posted on the Platform. NewSa is completely exempt from any proactive notification liability, obligation, or requirement to explicitly inform customers about contractual alterations. It remains the sole responsibility of the user to periodically review these Terms for modifications, and your continued account utilization beyond the posting date constitutes definitive acceptance of the updated framework.

15. Regulatory Compliance & Local Court Jurisdiction

These Terms are written under and governed by the laws of the Republic of India. Any litigation, arbitration, or statutory disputes that cannot be settled amicably through NewSa's customer mediation framework shall be filed exclusively within the competent courts located in Gurugram, Haryana, India.

16. Grievance Redressal Architecture

In compliance with the Information Technology Act, 2000 (and associated Intermediary Guidelines) along with the Consumer Protection (E-Commerce) Rules, 2020, all escalations, consumer complaints, and official legal notices must be directed to our designated Grievance Officer:
